Contributor License Agreement (CLA)

This CLA applies to all contributions to this repository.

1. Definitions

  • "You" means the individual or legal entity making a contribution.
  • "Contribution" means any code, documentation, or other material intentionally submitted to this project (including pull requests, commits, and issue attachments).
  • "Project" means the Agently project maintained by AgentEra and its maintainers.

2. Copyright and License Grant

You retain ownership of your Contribution.
By submitting a Contribution, you grant AgentEra and recipients of the Project a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to:

  • use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contribution
  • distribute the Project and derivative works under the Project's open-source license(s) and/or separate commercial terms
  • use your Contribution in commercial offerings related to the Project

3. Patent Grant

To the extent you own or control patent claims that are necessarily infringed by your Contribution alone or by combination with the Project, you grant AgentEra and recipients of the Project a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, have made, use, sell, offer for sale, import, and otherwise transfer implementations including your Contribution.

4. Your Representations

You represent that:

  • you have the legal right and authority to submit the Contribution
  • the Contribution is an original work by you, or you have sufficient rights to submit it under this CLA
  • to your knowledge, the Contribution does not knowingly violate third-party intellectual property rights
  • if you submit on behalf of your employer or another entity, you are authorized to do so

5. No Obligation to Accept

Project maintainers may accept, reject, or request changes to any Contribution at their sole discretion.

6. Contribution Process

By submitting a pull request, you agree to this CLA.
Please include the following sentence in your pull request description:

I have read and agree to the CLA in CLA.md.

If you cannot agree to this CLA, do not submit Contributions.
