Copyright © 2025 Teradyne Robotics A/S. Everyone may copy and distribute exact copies of this license document and apply it to its own material but modifying the license document is not allowed without permission from Teradyne Robotics A/S.
This license agreement (the "License") governs your use of the Licensed Material (as defined below). The License constitutes a binding agreement between you and the Licensor (as defined below) and by exercising the Licensed Rights (as defined below) you agree and acknowledge that you are bound by the terms of the License.
1. DEFINITIONS
1.1. "Adapted Material" shall mean material subject to intellectual property rights that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified in a manner requiring the Licensor's permission under copyright law, including Compilations or Databases.
1.2. "Compilations" shall mean works formed by the collection and assembling of preexisting materials, including the Licensed Material, that are selected, coordinated, or arranged in such a way that the resulting work as a whole constitutes an original work subject to copyright protection.
1.3. "Databases" shall mean works subject to rights other than copyright resulting from Directive 96/9/EC of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, as amended and/or succeeded, as implemented into or having effect under the national law of the EU Member States, as well as other essentially equivalent rights anywhere in the world.
1.4. "Effective Technological Measures" shall mean those measures that, in the absence of proper authority, may not be circumvented under laws fulfilling obligations under Article 11 of the WIPO Copyright Treaty adopted on December 20, 1996, and/or similar international agreements.
1.5. "Licensed Material" shall mean the graphical files and documents, including STEP-Files (ISO 10303-21), Collada (.dae), STL files (.stl), GLB files (.glb), GLFT files (.glft), Jupiter Tessellation files (.jt), OBJ files (.obj), Polygon File Format files (.ply), E-plan files (.emp), electrical schematics, CAD files, and drawings, as well as configuration files, scripts and other contents of these technical files, to which the Licensor has applied this License. For the avoidance of doubt and notwithstanding the foregoing, except for scripts, software shall not be considered "Licensed Material".
1.6. "Licensed Rights" shall mean the copyrights in and to the Licensed Material licensed to you by the Licensor subject to the terms and conditions of the License.
1.7. "Licensor" shall mean the owner of the copyright in and to the Licensed Material.
1.8. "Other Rights" shall mean all of the Licensor's intellectual property rights apart from the copyrights in and to the Licensed Material, including, without limitation, rights under unfair competition law or similar rules of law, patents, utility models, designs, copyrights and related rights, rights in software, trademarks, rights in databases, semiconductors, know-how, trade secrets, and all applications or pending applications for such in all cases whether or not registrable in any country, and all rights and forms of protection of a similar nature or having equivalent or similar effect anywhere in the world.
1.9. "Recipient" shall mean anyone with whom you Share Licensed Material and/or Adapted Material.
1.10. "Share" shall mean to provide the material to the public by any means or process requiring the copyright holder's permission under copyright law, including by publicly displaying, publicly performing, distributing, disseminating, communicating, transmitting and making it available to the public in ways that members of the public may access the material from a place and at a time individually chosen by them, including by making members of the public able to interact with the material remotely through a computer network, or otherwise making copies of the material available either online or offline.
2. LICENSE GRANT
2.1. Subject to the terms and conditions of this License, the Licensor hereby grants you a worldwide, royalty-free, non-sublicensable, non-exclusive, irrevocable copyright license to reproduce and Share the Licensed Material, in whole or in part, and to produce, reproduce and Share Adapted Material. For the avoidance of doubt, every Recipient automatically receives an offer from the Licensor to exercise the Licensed Rights subject to the terms and conditions of the License.
2.2. No express or implied licenses to Other Rights are granted by this License or by the Licensor, and the License does not permit you to circumvent any Effective Technological Measures applied to the Licensed Material. Your circumvention or attempted circumvention of Effective Technological Measures applied to the Licensed Material shall constitute a breach of this License.
3. LICENSE CONDITIONS
3.1. Your exercise of Licensed Rights is subject to the following conditions:
3.1.1. If you Share Licensed Material or Adapted Material, you shall
3.1.1.1. provide the Recipient with a copy of this License, or a URL or hyperlink to where a copy of this License can be found, along with a notice stating that it applies to the Licensed Material (and Adapted Material, if applicable, cf. Clauses 3.1.2.1 and 3.2),
3.1.1.2. provide the Recipient with a copy of the Licensed Material (and Adapted Material, if applicable, cf. Clauses 3.1.2.1 and 3.2), or a URL or hyperlink to where a copy thereof can be acquired,
3.1.1.3. not in any way indicate that your use of the Licensed Material is endorsed or sponsored by, or connected with, the Licensor or the authors/creators of or contributors to the Licensed Material without their express consent, and
3.1.1.4. retain all right management information, copyright notices and other identifications of the authors/creators in the Licensed Material and not alter, obscure, remove or replace any copyright or other legal notices, trademarks, business names and/or logos embedded in, superimposed on, affixed to, or otherwise included in the Licensed Material, or, upon Licensor's request, reinsert such information in a manner reasonably practicable if it has been removed by a previous distributor or contributor.
3.1.2. Additionally, if you Share Adapted Material, you shall
3.1.2.1. make such Adapted Material, excluding, however, your Compilations and Databases, available for use by anyone without the imposition of any (additional) Effective Technological Measures and license it on the terms of this License ("copyleft"/"ShareAlike"), and
3.1.2.2. indicate that the Adapted Material has been changed, including how, when, and by whom, e.g., in the form of an additional copyright notice.
3.2. For the avoidance of doubt and subject to the rights of third parties, you may Share your Compilations and Databases under license terms of your choosing and apply Effective Technological Measures to such Compilations and Databases.
4. NO WARRANTIES
4.1. THE LICENSOR AND CONTRIBUTORS OFFER THE LICENSED MATERIAL "AS-IS" AND "AS-AVAILABLE". THE LICENSOR AND CONTRIBUTORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE LICENSED MATERIAL, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHER, INCLUDING WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ABSENCE OF LATENT OR OTHER DEFECTS, ACCURACY, OR THE PRESENCE OR ABSENCE OF ERRORS, WHETHER OR NOT KNOWN OR DISCOVERABLE. YOU UNDERSTAND AND AGREE THAT YOU ASSUME THE ENTIRE RISK AS TO YOUR USE OF THE LICENSED MATERIAL.
5. NO LIABILITY
5.1. TO THE EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, SHALL THE LICENSOR OR CONTRIBUTORS BE LIABLE TO ANYONE FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY DAMAGES, OR OTHER LOSSES, COSTS, EXPENSES, OR DAMAGES, INCLUDING DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOSS OF DATA OR ANY COMMERCIAL DAMAGE, ARISING OUT OF THIS LICENSE OR USE OF THE LICENSED MATERIAL, EVEN IF THE LICENSOR AND/OR CONTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES, COSTS, EXPENSES, OR DAMAGES.
6. BREACH AND TERMINATION
6.1. Any breach of this License by you shall be considered a material breach hereof entitling the Licensor to either, at its sole discretion, (1) terminate the License and the rights granted hereunder with immediate effect or (2) enforce the terms of the License. The exercise of the aforementioned remedies shall be without prejudice to the Licensor's right to claim damages and/or compensation in accordance with applicable law. Additionally, your failure to comply with the terms of this License entails that your use of the Licensed Material constitutes an infringement of the Licensor's copyright to the extent such use requires the copyright holder's permission under copyright law.
6.2. For the avoidance of doubt, the Licensor's termination of the License in accordance with Clause 6.1 will not terminate the licenses of the Recipients, provided that such Recipients remain in full compliance with the License.
6.3. The Licensor may choose to offer the Licensed Material under other terms and conditions than this License or stop distributing or making the Licensed Material available at any time, but this shall not affect your rights under this License.
7. MISCELLANEOUS
7.1. If any provision of this License is invalid or unenforceable under applicable law, this will not affect the validity or enforceability of the License as a whole. Such provision will be construed or reformed as necessary to make it valid and enforceable and, if that is not possible, it shall be severed from the License without affecting the enforceability of the remaining provisions.
7.2. No term or condition of this License or any rights or remedies available to the Licensor under the License or applicable law will be waived unless expressly agreed to by Licensor.
8. GOVERNING LAW AND VENUE
8.1. This License shall be governed by and construed in accordance with the laws of the jurisdiction wherein the Licensor has its residence or registered office, excluding its conflict-of-law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
8.2. Any action or suit relating to this License may be brought only in the courts of the jurisdiction wherein the Licensor has its residence or registered office.
