Dev Alchemy – Commercial License Agreement

All rights reserved.

1. Grant of License

This Commercial License (“License”) grants the Licensee the right to:

  1. Use, modify, and distribute Dev Alchemy in commercial products or services.
  2. Integrate Dev Alchemy into closed-source or proprietary software.
  3. Operate Dev Alchemy in a SaaS environment without releasing source code under AGPLv3.
  4. Redistribute Dev Alchemy as part of internal or external systems in accordance with this License.

This license applies only upon acceptance and payment of the agreed commercial license fees.

2. Restrictions

Licensee may not:

  • Sub-license or transfer the software beyond the terms of this License without explicit written permission.
  • Remove or modify copyright notices.
  • Claim ownership of Dev Alchemy or its trademarks.

All other uses not explicitly permitted by this License remain governed by the AGPLv3.

3. Support and Maintenance (Optional)

Depending on the agreement, Dev Alchemy may include:

  • Technical support
  • Bug fixes
  • Security updates
  • Optional Service Level Agreement (SLA)

Support and maintenance terms must be agreed separately.

4. Intellectual Property & Patents

  • Dev Alchemy and its contributors retain all copyrights, trademarks, and patents.
  • Licensee receives no patent rights except those explicitly granted under this License.
  • Licensee may not assert any patent claims against the software or its use in accordance with this License.

5. Termination

This License is valid as long as the Licensee complies with its terms.

It will terminate automatically without notice if the Licensee breaches any conditions.

Upon termination, the Licensee must:

  • Cease all commercial use of Dev Alchemy.
  • Destroy all copies of Dev Alchemy distributed under this License.

6. Warranty Disclaimer & Limitation of Liability

Dev Alchemy is provided “as is”.

The Licensor makes no warranties, express or implied, including but not limited to fitness for a particular purpose or non-infringement.

The Licensor is not liable for any damages resulting from the use of Dev Alchemy.

7. Governing Law

This License is governed by the laws of Germany.

Disputes arising under this License shall be resolved in the courts of Bavaria, Germany.
