2. Brad Anderson (CEO, Fruition) - His hopes for future of DDEV

• Fruition purchased DDEV in June 2021 and brought key team members of DRUD
• Fruition is taking proprietary software, but wants to give open source assets to community to DAO (decentralized autonomous organization)
• Fruition wishes to continue to support DDEV, does not want to see DDEV be forked and have the community split
• RANDY: Brad has tried to firm up the proposal for the DAO this week, finish this month
• BRAD: basics of DAO are fairly simple:
  • Voting mechanisms include on/off-chain voting
  • On-chain voting is expensive
  • Voting rights can be delegated
• Other projects that work this way: MakerDAO
• CHRIS: Reminds me of Civil, a blockchain-backed approach to a journalism startup with voting rights assigned based on tokens, etc. (It has shuttered)
• RANDY: Trying to find a way that avoids governance by benevolent-dictator-for-life
• BRAD: DAO set up may fail, but doesn’t anticipate any major negative side effects. DAO can vote on what should replace it if needed
• A formal DAO would bring a rigid organization to a project whose governance may otherwise be loosey-goosey. This gives community the ability to reward contributors if desired (contrasting with the arbitrary points of Drupal community, i.e.)
• RANDY: Reality is that even though I’ve been the face and primary developer/decision maker, that isn’t a sustainable future. DDEV should be able to take on goals and features that require more people being involved. Sustainability and health of the project are the primary concern here
• ANDY: Difference between DAO and traditional charitable org board?
  • Cooler!
  • Adds complexity
  • Makes owned by community on blockchain
• NATHAN: DDEV has never been able to generate income, but definitely has value. That primary value is keeping it as open source. Having decentralized ownership also allows key contributors to be compensated in case of any future ownership transfer
  • RANDY: I don’t want or expect some future sale of DDEV.
• CARY: I think the DAO concept is interesting, and might be a good approach for an organization as small as DDEV. Advocates for structure of Drupal Association and is willing to speak with people who may have questions
• ANDREW: whilst I'm not precious over the exact structure, DAO vs something more traditional, I do think an approach that provides some distributed governance and ability for people to 'gain' credit in that via contribution etc is a positive!

3. Status of DDEV's github repo, finish discussion of name of new org. We have github.com/ddevl and github.com/ddvlocal already claimed.

• In the light of Fruition’s coming proposal, it might be good to table this issue

4. Creation of budget/financial subcommittee

• CARY: Job of Exec Dir is to raise money, but this org will not be able to pay that well
• RANDY: Many of us are working for organizations that are willing to contribute
• RANDY: There’s already an Org in Colorado and a bank account with $100 balance
• ANDY: DDEV is not trying to be highly profitable, we only need money to break even. Might be better to identify costs before we go looking for money
• CHRISTIAN: What are the current costs of test runners?
  • They are old macs, so costing Randy electricity
  • Fruition is paying for CircleCI (only current place you can test ARM64)
  • On the order currently of “$10’s of dollars a month”

5. New Business / Non-Agenda Items

• CARY: Please don’t change names to something without vowels
• CARY: We should all do what we are probably already doing, promoting DDEV as much as we can
