PLEASE READ THIS AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND
BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT OR CANNOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE.
When we say "you," "your" or "yourself", we mean you as an individual or the legal entity exercising rights under this
Agreement through you. When we say "Copyright Holder," "we" or "us," we are referring to COPYRIGHT HOLDER.
1. DEFINITIONS
"The Software" refers to the source code, object code, documentation, and any other materials contained in this
repository, including any modified version of any of the foregoing that you make under this License.
"Derivative Work" means any work that is based on or derived from the Software, including but not limited to
modifications, translations, adaptations, or any work that incorporates all or part of the Software.
"Product" means any product, service, or project that either (a) is made using any of the Software or Derivative Work,
or (b) combines any of the Software or Derivative Work with any other software or content.
"Distribute" or "Distribution" means to provide or otherwise make a copy available, or to make the functionality of
the Software available to third parties.
"Commercial Use" includes, but is not limited to, selling, sublicensing, or distributing the Software or its
Derivative Works for profit, or incorporating the Software into a Product that generates revenue.
"Gross Income" means the total annual revenue generated by an individual, organization, or entity by the means of
the Product, either directly or indirectoly before any deductions, calculated on a calendar year basis as decribed
in Section 4(b).
"Licensee" refers to any individual or entity exercising rights under this License.
2. SCOPE OF LICENSE
The Copyright Holder grants you a non-exclusive, non-transferable, non-sublicensable license to privately use,
reproduce, display, perform, and modify the Software in accordance with the terms of this Agreement.
This license grants limited rights as defined in Sections 3 and 4. All other rights, including, but not limited to,
sublicensing or redistribution for compensation beyond the scope defined herein, are expressly reserved by the
Copyright Holder.
3. PERMITTED NON-COMMERCIAL USE
Permission is hereby granted, free of charge, to any person obtaining a copy of the Software, to deal in the Software
without charge, including the rights to clone, fork, merge, modify, and distribute the Software or Derivative Works
thereof, for the purpose of non-commercial use only.
The use of the Software on a device which is otherwise used for commercial purposes is permitted, provided the Software
itself is not utilized for or in direct support of a commercial purpose.
4. PERMITTED LIMITED COMMERCIAL USE
(a) Income Threshold
Commercial Use of the Software and any Derivative Works is permitted without payment of royalties or fees, provided
that the Licensee's total Gross Income does not exceed fifty thousand United States dollars (USD $50,000) per calendar
year.
If the Licensee's Gross Income exceeds USD $50,000 per calendar year, the Licensee must obtain a separate commercial
license from the Copyright Holder before continuing Commercial Use of the Software or any Derivative Works, under terms
stipulating that the license fee or royalty shall not exceed one percent (1%) of the Licensee's total Gross Income per
calendar year. This payment obligation shall remain in force for the duration of the Licensee's continued Commercial Use
of the Software or any Derivative Works.
(b) What Constitutes Gross Income
Gross Income includes all revenue directly generated by your Product, regardless of who receives the revenue and
regardless of whether you Distribute your Product to end users directly, self-publish via any store, or work with a
publisher or distributor. Gross Income includes revenue:
i. resulting from any and all sales of a Product to end users through any and all media, including but not
limited to digital and retail;
ii. resulting from any and all in-app purchases, downloadable content, microtransactions, subscriptions, sale,
transfer, or exchange of content for use with a Product, or redemption of virtual currency which directly
affects the operation of the Product;
iii. from any crowdfunding campaign which is directly associated with Product access or in-Product benefit;
iv. from in-app advertising and affiliate programs;
v. from any advance payments for a Product (from a publisher or otherwise);
vi. received in connection with a Product's inclusion in a streaming, subscription, or other delivery service;
vii. received in connection with access to your Product or features or functionality within your Product; and
viii. received in any other form actually attributable to a Product (unless excluded below).
(c) Allowed Exclusions from Gross Income
The following are excluded from the calculation of Gross Income:
i. revenue from ancillary products that are not software and that do not contain embedded information that
affects the operation of the Product (e.g., books, soundtracks, apparel, merchandise);
ii. cash prizes given with awards earned for the Product;
iii. revenue from donations that are not tied to Product access or in-Product benefits;
iv. sales or value added taxes charged to end users of the Product; and
v. grants or funding received from non-profit organizations or educational institutions for development purposes.
5. ATTRIBUTION
All copies or substantial portions of the Software, including Derivative Works, must include:
(a) This license in its entirety, or a prominent link to it;
(b) The original copyright notice;
(c) Clear attribution to the original author(s).
6. RECORDS AND AUDITS
You agree to keep accurate books and records related to your use of the Software. The Copyright Holder may conduct
reasonable audits to verify compliance with the terms of this License, upon reasonable notice and during normal
business hours. If an audit reveals underpayment or non-compliance, you shall promptly remedy the situation and bear
the reasonable costs of the audit.
7. TAXES
You are responsible for all taxes on all payments required to be made by you under this Agreement (other than taxes
that the Copyright Holder is obligated to pay on its income). All Gross Income calculations and any payments owed
shall be made in United States Dollars (USD). You are responsible for ensuring that all applicable amounts are
converted to USD using rates published by an international bank or recognized exchange rate service.
8. INDEMNIFICATION
You agree to indemnify, pay the defense costs of, and hold the Copyright Holder and its affiliates, officers,
directors, and employees harmless from all claims, losses, damages, liabilities, and expenses (including reasonable
attorneys' fees) arising out of or in connection with any claims arising from: (a) your breach of this Agreement;
(b) your Products or Derivative Works; or (c) your use of the Software.
9. TERMINATION
This License and the rights granted hereunder will terminate automatically if the Licensee fails to comply with any
of its terms. Upon termination, the Licensee must cease all use and distribution of the Software and any Derivative
Works. The following sections shall survive any termination of this Agreement: Sections 1, 7, 8, 10, 11, 12, and 13.
10. DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR
COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR
OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COPYRIGHT HOLDER SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED
DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR
ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY
RELATING TO THE SOFTWARE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF THE SOFTWARE.
12. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of Republic of India, without regard to
its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the
exclusive jurisdiction of the courts located in the Republic of India.
13. SEVERABILITY AND MODIFICATION
If any provision of this License is held to be unenforceable, such provision shall be reformed only to the extent
necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
The Copyright Holder reserves the right to release the Software under different license terms or to modify the terms
of this License for future versions of the Software. Such modifications shall not retroactively affect the rights
granted under prior versions of this License.
14. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all
prior agreements and understandings, whether written or oral, relating to such subject matter.
